Structured finance & securitisation

Structured Finance is an integrated component to our industry-focused practices. It has developed alongside our traditional asset finance practice as our clients have sought alternative funding structures to utilise financial products for funding, fiscal, legal, regulatory and credit arbitrage, broaden sources of funding, address balance sheet constraints and maximise returns.

Our team of legal professionals with multi-disciplined backgrounds in syndicated debt finance, debt and equity capital markets and structured debt securities enhances our traditional asset financing and bank lending platform with in-depth industry, market and asset knowledge. The main focus of our team is to offer our clients a tailor-made structure utilising our multi-disciplinary experience in the financial markets.  We seek to customise each financing to the specific needs and circumstances of the client, whilst maintaining a balance as to the legal risk exposure and economics of the transaction.

We specialise in advising financial institutions, airlines, lessors, lessees, shipowners, shipping companies, charterers, mining and utility companies, structurers and investors. We have also advised originators, issuers, arrangers, managers, trustees, account banks, cash managers and liquidity facility providers on stand-alone bespoke financing transactions as well as the establishment of tax-driven funds and structured note programmes. Underpinning our expertise is the practical experience of our lawyers in dealing with the commercial strategies of investment banks, swap counterparties, insurers and investment funds in multiple jurisdictions.
